These terms are effective immediately. Legal review by qualified Malaysian counsel is recommended before large-scale commercial rollout.

1. Service Scope

KunciPay is a B2B SaaS platform providing spend-control (PBM), ERP/accounting records, compliance evidence, approval workflows, e-Invoice readiness tooling, AI assistant features, and API access for Malaysian SMEs. KunciPay is a non-custodial payment instruction layer — it does not hold, transfer, or settle client funds directly. All actual fund movements are executed by licensed third-party payment processors.

1. 服务范围

KunciPay是一款面向马来西亚中小型企业的B2B SaaS平台,提供支出管控(PBM)、ERP/会计记录、合规证据、审批工作流、电子发票就绪工具、AI助理功能及API访问。KunciPay是非托管式支付指令层——不直接持有、转移或结算客户资金。所有实际资金流动均由持牌第三方支付处理商执行。

2. BNM Regulatory Positioning

KunciPay is not a licensed money services business (MSB), e-money issuer, or payment system operator regulated by Bank Negara Malaysia (BNM). KunciPay does not hold a BNM e-money licence and does not hold or transmit client funds. All live payment processing is conducted through Curlec (Razer Merchant Services Sdn Bhd), which holds a BNM e-money licence. Customers are responsible for ensuring their own use of KunciPay complies with applicable Malaysian financial regulations.

2. 马来西亚国家银行监管定位

KunciPay不是受马来西亚国家银行(BNM)监管的持牌货币服务业(MSB)、电子货币发行商或支付系统运营商。KunciPay不持有BNM电子货币牌照,亦不持有或转移客户资金。所有实时支付处理均通过持有BNM电子货币牌照的Curlec(Razer Merchant Services Sdn Bhd)执行。客户有责任确保其使用KunciPay的方式符合马来西亚相关金融法规。

3. User Responsibilities

You agree to: (a) use KunciPay only for lawful business purposes under Malaysian law; (b) not use the platform to facilitate money laundering, fraud, tax evasion, or any activity prohibited under the Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001 (AMLATFPUAA) or any other applicable law; (c) ensure all uploaded data (employee, supplier, customer) is accurate and lawfully obtained; (d) review all AI-generated output, e-Invoice records, and payroll calculations before filing or submission; (e) maintain secure credentials and promptly report any suspected unauthorised access.

3. 用户责任

您同意:(a) 仅将KunciPay用于马来西亚法律允许的合法商业目的;(b) 不使用本平台协助洗钱、欺诈、逃税或任何违反2001年《反洗钱、反恐融资及非法活动所得法》(AMLATFPUAA)或其他适用法律的活动;(c) 确保所有上传数据(员工、供应商、客户)准确且经合法取得;(d) 在提交或申报前审阅所有AI生成输出、电子发票记录及薪资计算结果;(e) 保持凭证安全,并及时报告任何疑似未授权访问。

4. Human Review Required

KunciPay automates data preparation and workflow routing, but does not replace professional judgement. e-Invoice submissions to LHDN, payroll calculations, SST filings, GL journal entries, and any AI-generated analysis must be reviewed and approved by authorised personnel before use, filing, or submission. KunciPay does not provide legal, tax, audit, or payroll advice. Output accuracy depends on the quality of data entered by your team.

4. 须经人工审核

KunciPay自动化数据准备和工作流路由,但不能替代专业判断。向LHDN提交的电子发票、薪资计算、SST申报、总账日记账分录及任何AI生成的分析均须在使用、提交或申报前由授权人员审阅及批准。KunciPay不提供法律、税务、审计或薪资建议。输出结果的准确性取决于您团队输入数据的质量。

5. Intellectual Property and Data Ownership

KunciPay's platform, code, algorithms, and branding are owned by KunciPay. Customer business data — including company records, transactions, invoices, employee data, and supplier records — remains the property of the customer. KunciPay may process customer data to provide the service, ensure security, generate usage metrics, support customers, maintain backups, and comply with legal obligations. Upon account closure, customers may request a data export in standard format within 30 days.

5. 知识产权与数据归属

KunciPay的平台、代码、算法及品牌归KunciPay所有。客户商业数据——包括公司记录、交易、发票、员工数据及供应商记录——归客户所有。KunciPay可处理客户数据以提供服务、确保安全、生成使用量指标、支持客户、维护备份及履行法律义务。账户关闭后,客户可在30天内请求以标准格式导出数据。

6. Service Availability (SLA)

KunciPay targets 99.5% monthly uptime on a commercially reasonable-effort basis for paid plans. This does not constitute a financial guarantee. Scheduled maintenance windows, force-majeure events, third-party infrastructure failures (Railway, Curlec, LHDN, AI providers), and customer-side network issues are excluded from uptime calculations. KunciPay does not offer financial-grade SLA penalties or service credits unless expressly agreed in a signed contract.

6. 服务可用性(SLA)

KunciPay对付费方案以商业合理努力为基础,目标每月正常运行时间达99.5%。这不构成财务保证。计划性维护窗口、不可抗力事件、第三方基础设施故障(Railway、Curlec、LHDN、AI服务提供商)及客户端网络问题不计入正常运行时间统计。除非在签署的合同中明确约定,KunciPay不提供金融级SLA赔偿或服务抵扣。

7. Liability Limitation

To the maximum extent permitted by Malaysian law, KunciPay is not liable for: indirect, consequential, or incidental losses; lost profits or revenue; penalties or interest resulting from incorrect customer inputs, late filings, or unauthorised user actions; losses arising from third-party service interruptions (Curlec, LHDN, Railway, AI providers); or customer failure to review records before submission. For paid plans, KunciPay's total liability in any 12-month period shall not exceed the fees paid by the customer in that period.

7. 责任限制

在马来西亚法律允许的最大范围内,KunciPay不对以下情况承担责任:间接、衍生或附带损失;利润或收入损失;因客户输入错误、迟延提交或未授权用户操作导致的罚款或利息;因第三方服务中断(Curlec、LHDN、Railway、AI服务提供商)造成的损失;或客户在提交前未审阅记录造成的损失。对于付费方案,KunciPay在任何12个月期间的总责任不超过客户在该期间支付的费用。

8. Provider-Pending Features

MyInvois production submission, direct bank feeds, CTOS credit reports, Shopee/Lazada marketplace APIs, Curlec/FPX live payments, and official payroll filing are provider-pending. These features require signed provider agreements, credentials, and successful production testing before going live. Demo, sandbox, CSV export, or manual fallback modes do not imply live provider readiness. KunciPay will notify customers when pending integrations become live.

8. 待接入功能

MyInvois生产提交、直接银行数据流、CTOS信用报告、Shopee/Lazada市场API、Curlec/FPX实时支付及正式薪资申报均为待接入功能。这些功能需要签署服务提供商协议、获取凭证并完成生产测试后方可上线。演示、沙盒、CSV导出或手动备选模式并不意味着已具备实时服务提供商就绪能力。KunciPay将在待接入集成上线时通知客户。

9. Termination

Customers may terminate their account at any time by contacting [email protected]. Data export is available for 30 days after termination. KunciPay may suspend or terminate access immediately upon: material breach of these Terms; suspected fraud, money laundering, or illegal activity; non-payment of fees after 14-day notice; or force-majeure preventing continued service. Recurring subscription fees are not refundable for the current billing cycle upon customer-initiated termination.

9. 终止

客户可随时通过联系 [email protected] 终止其账户。终止后30天内可进行数据导出。在以下情况下,KunciPay可立即暂停或终止访问权限:严重违反本条款;疑似欺诈、洗钱或非法活动;在14天通知期后仍未支付费用;或因不可抗力无法继续提供服务。客户主动终止时,当前计费周期的定期订阅费用不予退还。

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Asian International Arbitration Centre (AIAC, formerly KLRCA) Arbitration Rules, conducted in Kuala Lumpur in English. The award shall be final and binding. Nothing prevents either party from seeking injunctive relief in Malaysian courts.

10. 适用法律与争议解决

本条款依据马来西亚法律管辖及解释。争议应首先通过善意协商解决。如在30天内未能解决,争议应依据亚洲国际仲裁中心(AIAC,前称KLRCA)仲裁规则提交仲裁,仲裁地点为吉隆坡,使用英语进行。裁决为最终裁决且具有约束力。任何一方均不因此失去在马来西亚法院寻求禁令救济的权利。
